This Service (defined below) is owned by Kinokuniya Book Stores of America Co., Ltd. and its related entities, affiliates and subsidiaries (individually and collectively, “Kinokuniya,” “us,” “we,” and “our”). This Privacy Policy (“Policy”) applies to your use of our websites (https://usa.kinokuniya.com and https://member.usa.kinokuniya.com) and any other online services (e.g., websites, software, mobile applications, and certain emails we send) that posts a link to this Policy (collectively the “Services”). This Policy describes our data practices relating to information that identifies you personally, such as your first and last name, email address, phone number, and address (“Personal Information” or “PI”) which is supplied by you and collected by us on the Services.

BY ACCESSING THE SERVICES OR SUPPLYING THE INFORMATION REQUESTED BY THE SERVICES WHEN REGISTERING ON THE SERVICES OR WHEN USING OUR SERVICES TO PURCHASE OUR PRODUCTS, YOU ACCEPT ALL THE TERMS OF THIS POLICY. IF YOU DO NOT, PLEASE DISCONTINUE YOUR ACCESS AND DO NOT SUPPLY ANY PI VIA THE SERVICES.

You acknowledge that your access and use of the Services is also subject to our Website Terms and Conditions, and you agree to abide by the Website Terms and Conditions when accessing and using the Services.

We provide additional information and choices for residents of California. View our California Consumer Privacy Notice for more information. To the extent that there is a conflict between this Policy and our California Consumer Privacy Notice, the California Consumer Privacy Notice will control as to California residents.

II. Information Collected.

a. Information Collected Automatically.

We may automatically collect certain information about you when you access or use the Services, such as your IP address, device identifier, browser type, operating system, and information about your use of the Services (“Usage Information”), and information relating to account authentication and security, including login activity, authentication status, verification requests, and related security logs. Except to the extent required by applicable law, or to the extent Usage Information is combined with Personal Information, we do not consider Usage Information to be Personal Information. The methods that may be used on the Service to collect Usage Information include the following:

Cookies. In order to improve our online services to you, we collect data by way of "cookies." Cookies are a type of tracking technology that help us measure the number of visits, average time spent, page views and other statistics relating to your access to the Services. This information allows us to better administer the Services and provide a more tailored and user-friendly experience to users. Cookies are small data files that are sent to your browser from the Services and are stored on your computer's hard drive. Each time you visit the Services from the same computer, the cookie will be retrieved from your computer, enabling the Services to recognize your computer as having previously visited the Services and thereby increase the functionality of the Services on your computer. Web beacons may be used, without limitation, to count the number of visitors to the Services, to monitor how users navigate the Services, and to count content views.

Embedded scripts. An embedded script is programming code designed to collect information about your interactions with the Services. It is temporarily downloaded onto your computer from our web server, or from a third party with which we work and is active only while you are connected to the Service and deleted or deactivated thereafter.

b. Information About You That You Provide.

For some services or areas on the Services, we may ask you to register and/or to provide us with Personal Information about you and/or your company such as your name, email address, and other types of identity or contact information. Further, if you wish to order products or services from us via the Services, we will request that you provide additional Personal Information in order for us to process payment and delivery, including financial information (such as credit card and billing information), preferred or required products and services, physical address, recipient information, delivery address, email address and telephone number. We may also collect Personal Information through the Services when you communicate with us through the Services, such as via our “Contact Us” webform.

c. Information We Collect From Other Sources.

We may obtain information about you from other sources, including our service providers, and combine that with information we collect through the Services.

III. Data Security and Monitoring.

We take reasonable measures to protect PI (excluding public UGC (defined below)) from loss, theft, misuse and unauthorized access, disclosure, alteration, and destruction. Nevertheless, transmission via the Internet and online digital storage are not completely secure and we do not guarantee the security of your information collected through the Services.

To help protect you and others, we may (but make no commitment to) monitor use of the Services, and may collect and use related information including PI for all purposes not prohibited by applicable law or inconsistent with this Policy, including, without limitation, to identify fraudulent activities and transactions; prevent abuse of, and investigate and/or seek prosecution for, any potential threats to or misuse of the Services; ensure compliance with our Website Terms and Conditions and this Policy; investigate violations of or enforce these documents; improve the Services and your experiences with the Services, and to protect the rights, property and safety of Kinokuniya, third parties, and other users. Monitoring may result in the collection, recording, and analysis of online activity or communications through the Services. If you do not consent to these conditions, you must discontinue your use of the Services.

We encourage you to maintain the security of your Personal Information, Registered Email Address, and any authentication credentials associated with your account. It is your responsibility to maintain the confidentiality and security of your Registered Email Address, any one-time verification codes ("OTP"), and any other authentication methods used to access your account. Please be aware that e-mail transmissions are generally not encrypted and are not a secure means of transmitting sensitive information, including financial information, to us.

Whilst we have adopted security measures to protect your PI, you are responsible for taking reasonable measures to protect your PI, Registered Email Address, and any authentication credentials associated with your account. This includes maintaining the confidentiality and security of your Registered Email Address and any OTP or other authentication methods used to access your account.

IV. How We Use The Information We Obtain.

Personal Information collected via the Services may be used for purposes not inconsistent with statements under this Policy including, without limitation, to:

- provide the products and services to you;
- verify and process your personal particulars and payments for our products and services offered through the Services;
- authenticate users and administer account access;
- verify account ownership and identity;
- maintain account security and prevent unauthorized access, fraud, and misuse of the Services;
- create a user profile in order to provide you with the services you have requested at the Services;
- process, record, execute, monitor, and/or archive your online orders, requests and transactions;
- respond to your requests and queries;
- communicate with you;
- customize your online experience according to your chosen interests and preferences and enhance your current and future visits to the Services;
- advise you of other products and services which may be of interest to you;

- update Kinokuniya's records;

V. Information Disclosure.

Kinokuniya may disclose your information to the individuals and entities listed below, but your information will not be revealed by Kinokuniya to any other third party, unless Kinokuniya has your permission, or is under either a legal or regulatory obligation or any other duty to do so:

Kinokuniya uses the services of third party service providers to host and manage data from this Services. Data containing the information you provide will be transmitted to and hosted in data centers in the United States of America or outside the United States of America (including India) by our third party service providers, and processed and managed by such third party service providers. Our service providers are bound by confidentiality obligations with respect to the PI they process on our behalf.
The information which you provide through the Services may be transferred within the Kinokuniya Group of corporations which may include transfer to other entities in the Group in Singapore, Japan or other jurisdictions.
The information provided by you through the Services may also be disclosed by Kinokuniya to, and processed by:

a. Regulators and law enforcement officials;
b. Credit and charge card companies, banks and other entities processing payment instructions given by you through the Services;
c. Shipping companies to deliver orders placed by you through the Services;
d. Any agent or subcontractor acting on our behalf, including but not limited to our other service providers, vendors, consultants, attorneys and auditors; and
e. Another company in connection with or during negotiations of any proposed or actual financing of our business, or merger, purchase, sale, joint venture, or any other type of acquisition or business combination of all or any portion of our assets whether as a going concern or as part of a bankruptcy, liquidation, or similar proceedings.

VI. Information You Disclose Publicly Or To Others.

The Services may permit you to post or submit user-generated content (“UGC”), such as publicly viewable reviews of our products, which may include PI. If you choose to submit UGC to any public area of the Services, your UGC will be considered “public” and will be accessible by anyone, including us. Notwithstanding anything to the contrary, unless otherwise explicitly agreed by us, PI included in UGC is not subject to our usage or sharing limitations, or other obligations, regarding PI under this Policy or otherwise, and may be used and shared by us and third parties to the fullest extent not prohibited by applicable law. We encourage you to exercise caution when making decisions about what you disclose in such public areas.

VII. Communications and Choices.

In providing your address, telephone number, facsimile number or email address you agree that Kinokuniya may contact you by mail, telephone, facsimile or email. If you have provided more than one form of contact information, the most appropriate method of communication will be used depending on the urgency of the information. In providing this information you also permit our telephone calls to be recorded or monitored in order to offer additional security, resolve complaints and for training, administrative and quality assurance purposes. However, if you indicate with your submission of information that you do not wish to receive any promotional material from Kinokuniya, we will not send any promotional material to you.

You can opt out of receiving promotional emails from us at any time by following the instructions provided in emails to click on the unsubscribe link, or if available by changing your communication preferences by logging onto your account. Please note that your opt-out is limited to the e-mail address used and will not affect subsequent subscriptions. If you opt-out of only certain communications, other subscription communications may continue. Even if you opt out of receiving promotional communications, we may, subject to applicable law, continue to send you non-promotional communications, including communications relating to your account, transactions, customer service, security, authentication, or our ongoing business relationship with you.

Your browser settings may allow you to automatically transmit a “Do Not Track” signal to online services you visit. Note, however, there is no consensus among industry participants as to what “Do Not Track” means in this context. Like many online services, we currently do not alter our practices when we receive a “Do Not Track” signal from a visitor’s browser. To find out more about “Do Not Track,” you can visit http://www.allaboutdnt.com, but we are not responsible for the completeness or accuracy of this third party information.

VIII. Data Transfer.

By providing us with information, you acknowledge and agree that due to the international dimension of Kinokuniya we may store, process and use PI collected in the course of our relationship, and provide that PI to other enterprises within the Kinokuniya Group of corporations, outside your resident jurisdiction. By providing us with information, you specifically consent to the transfer of PI outside of the country or jurisdiction where it was collected for the purposes described in this Policy.

This Policy is governed by and shall be construed in accordance with the laws of the State of New York, without giving effect to any principles of conflicts of law. By accessing the Services and providing the requested information, you submit to the non-exclusive jurisdiction of the courts of the State of New York. Those who choose to access the Services from any location do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

IX. Third-Party Services.

The Services may link to third-party websites or apps (“Third-Party Services”). These Third-Party Services may use their own cookies, web beacons, and other tracking technologies to independently collect information about you and may solicit PI from you. We do not control or monitor these Third-Party Services, including their web content. We are not responsible for, shall not be held liable for, and make no representation regarding the content, policies, or business practices of such Third-Party Services. We encourage you to pay attention when you connect to these Third-Party Services and read their terms and conditions of use and their privacy policy carefully. Our privacy policy does not apply to Third-Party Services and we are by no means liable for the privacy policy adopted by them. The Services may provide links to Third-Party Services exclusively to help you in your searches and net surfing activities. When we provide links to Third-Party Services we are not recommending the use of them and do not provide any guarantees regarding their content or the services and products supplied and sold by them.

X. Retention.

We retain PI as long as the purpose for which the PI was collected continues, unless retention is required by applicable law, such as to satisfy legal, regulatory or accounting requirements, to maintain security and fraud prevention records or to protect Kinokuniya's interests, to the extent permitted by applicable law.

XI. Accessing and Changing Information.

You may view and amend PI associated with your account with us and delete your account at your convenience by logging into your account through the Services. However, if you delete your account, we may continue to retain certain PI, including information related to business records, prior transactions, security, fraud prevention, legal compliance, and recordkeeping obligations, to the extent permitted or required by applicable law.

XII.Children’s Privacy

The Services are intended for use by individuals who are at least 18 years old. Persons under the age of 18 may use this Service only under the supervision of a parent or legal guardian. We do not knowingly request personal information as defined underthe U.S. Children’s Online Privacy Protection Act (“COPPA”) from persons under the age of 13. In the event we learn that a person under the age of 13 have provided personal information to Kinokuniya through the Services, we will promptly remove such information from our records to the extent required by COPPA.

XIII. Changes to this Privacy Policy.

Kinokuniya reserves the right to amend this Policy prospectively at any time, effective upon the posting of the revised Policy on the Services and your use of the Services indicates your consent to the privacy policy posted at the time of use.
